Our business attorneys specialize in representing both lenders and borrowers in connection with commercial secured financing transactions of all kinds, including traditional line of credit facilities and receivables factoring facilities that entail a borrowing base derived from accounts receivable, inventory, equipment, intellectual property and other business assets.
In addition, we specialize in representing both lenders and borrowers in connection with commercial equipment and other specialty asset lease and acquisition financing transactions, including traditional equipment lease transactions involving the acquisition of equipment, vehicles and other specialty assets such as aircraft, vessels and railcars. In connection with such transactions, we focus on the creation, perfection and priority of security interests, as well as subordination and intercreditor issues among competing creditors.
We also represent lenders and finance companies in connection with syndication and securitization transactions involving secured asset portfolios comprised of secured transactions.
We also represent lenders and finance companies in connection with structuring vendor programmatic financing transactions and joint ventures with manufacturers, suppliers and other vendors.
We also represent lenders, manufacturers and suppliers in connection with “green” and clean energy project finance transactions.
In connection with the foregoing, we take the lead with respect to all aspects of structuring, negotiation, documentation and closing such transactions.
